Effective: 10 August 2026

These Developer Terms govern access to Navica APIs, SDKs and developer tools and the development and operation of applications that interoperate with the Navica platform.

1. Agreement and scope

These Developer Terms are provided by Navica AI Ltd., registered in Ireland under number 783556 with its registered office at Riverside One, Sir John Rogerson's Quay, Dublin 2, D02 X576, Ireland, and its affiliates (together, “Navica”). “Developer” means the person or organisation accepting these Developer Terms. If you accept for an organisation, you confirm that you have authority to bind it.

“API Data” means data made available to or received from a Navica API. “Application” means an application, agent, connector, integration, extension, model or workflow developed for use with Navica. “Developer Tools” means Navica APIs, SDKs, schemas, sandbox services, command-line tools, sample code and developer documentation.

These Developer Terms supplement the Navica AI Platform Terms of Service (“Platform Terms”), Acceptable Use Policy (“AUP”), applicable Order Form or partner agreement, and published developer documentation. Defined terms not explained here have the meanings in the Platform Terms. An expressly agreed Order Form or partner agreement prevails over these Developer Terms for its subject matter; these Developer Terms then prevail over the Platform Terms for Developer Tools and Applications.

Developer accepts this agreement by registering a developer account, accessing Developer Tools or credentials, or submitting or operating an Application. These Developer Terms are for business use and do not govern consumer use.

2. Developer accounts and permitted use

Subject to this agreement, Navica grants Developer a limited, non-exclusive, non-transferable, non-sublicensable and revocable right during the term to use the Developer Tools solely to develop, test, operate and support authorised Applications.

Developer must provide accurate registration and contact information; use the access methods described in the documentation; comply with technical and rate limits; and ensure that its personnel and contractors comply with this agreement. Developer must not misrepresent its identity, share credentials between unrelated Applications, sell or sublicense Developer Tools as a standalone product, circumvent limits or access controls, or reverse engineer non-public components except where that restriction is prohibited by law.

Developer must keep API keys, tokens, client secrets and signing keys confidential, must not embed confidential credentials in public code or client-side software, and must promptly rotate and report credentials that are or may be compromised.

Navica may change or discontinue Developer Tools. Where reasonably practicable, Navica will give advance notice of a material backwards-incompatible change to a generally available API. Preview, beta and sandbox features may change or be withdrawn without notice and must not be used for production or safety-critical operations unless Navica agrees otherwise in writing.

3. Applications and end users

4. API Data and privacy

Developer may access, use, process and retain API Data only as authorised by the relevant Customer and only to the minimum extent necessary to provide the disclosed Application functionality. Developer must not sell API Data, use one Customer’s API Data to benefit another Customer, use API Data for unrelated advertising or profiling, or use identifiable Customer Data to train or fine-tune a foundation or general-purpose AI model.

Developer must comply with applicable Data Protection Law and its published privacy notice. If Developer processes Personal Data for Navica or a Customer as a processor or subprocessor, the applicable Data Processing Addendum must be agreed before that processing begins and exclusively governs the parties’ processor obligations, subprocessors, international transfers, security incidents, assistance, return and deletion. Nothing in these Developer Terms replaces or expands that DPA.

5. Security and AI safeguards

Developer must maintain safeguards appropriate to the Application and API Data, including least-privilege access, secure credential storage, encryption in transit, vulnerability and dependency management, logging and incident response. Developer must promptly notify security@navica.ai of compromised credentials, unauthorised access, a material vulnerability or a security incident affecting Navica, a Customer, an Application or API Data, and must cooperate with containment and remediation.

An Application that uses generative AI must identify material AI interactions to end users, provide a way to report unsafe or erroneous output, disclose intended uses and material limitations, and be tested with representative and adversarial inputs. Developer must not disable Navica safety or approval controls. High-risk, safety-critical or otherwise regulated production use requires Navica’s prior written approval and appropriate human oversight, testing, technical documentation and regulatory controls.

6. Review, listing and distribution

Navica may require technical, security, privacy, safety, quality, accessibility, content or interoperability review before an Application is enabled, listed or distributed. Developer will provide accurate test access, listing information, support details and information reasonably required for review and will submit material changes for renewed review where requested.

Navica’s review or listing does not transfer responsibility for an Application and is not a warranty or endorsement. Navica may reject, condition, unlist, disable or remove an Application that breaches this agreement; creates a security, safety, legal or operational risk; is unsupported; or must be restricted by law or a third-party platform rule.

Any fees, revenue share, payment processing, taxes, service levels, resale rights or co-marketing obligations must be set out in a separate Order Form or partner agreement. Unless one applies, each party bears its own costs and neither party is obliged to distribute or market the other party’s products.

7. Intellectual property and branding

As between the parties, Navica retains all rights in Navica, the Platform and Developer Tools, and Developer retains all rights in the Developer Offering and Developer materials. No rights are granted except as expressly stated.

Developer grants Navica and its service providers a worldwide, non-exclusive, royalty-free licence during the term to host, reproduce, test, execute, display and technically integrate an Application and its listing materials only as necessary to review, secure, operate, demonstrate and distribute the authorised Application. Each party may display the other party’s name and marks solely to identify the Application or agreed relationship and in accordance with supplied brand guidelines.

Navica may use suggestions and feedback without restriction or obligation, but receives no rights in Developer’s confidential information, source code or Application except as expressly stated.

8. Responsibility, warranties and liability

Developer warrants that it has authority to enter this agreement; has all rights required for each Application and its content; will provide materially accurate information; and will comply with this agreement and Applicable Law. Developer is responsible for claims, support, data handling, regulatory classification and disputes relating to its Application.

Developer will defend and indemnify Navica and its affiliates against third-party claims and reasonable costs arising from an Application, Developer’s breach, Developer’s unlawful processing, or an allegation that Developer materials infringe third-party rights. Navica will give prompt notice and reasonable cooperation and allow Developer to control the defence, but Developer may not admit fault by or impose an obligation on Navica without written consent.

The Developer Tools are provided “as is” and “as available”. The exclusions, liability limitations and exclusions of indirect loss in Sections 14 and 15 of the Platform Terms apply to these Developer Terms as if references to the Platform and Services included the Developer Tools and developer programme. An expressly agreed Order Form or partner agreement may provide a different allocation for its subject matter.

9. Suspension and termination

Developer may terminate by stopping use of the Developer Tools and giving written notice. Navica may suspend access or an Application where reasonably necessary to protect Customers, users, the Platform or third parties; comply with law; address a security or safety risk; prevent fraud or abuse; or address a breach. Where practicable, Navica will give reasons and an opportunity to remedy.

On termination, Developer must stop using Developer Tools and credentials, cease use of Navica marks, assist with an orderly transition for affected Customers, and delete stored API Data as required by its end-user terms and any applicable DPA. Provisions intended by their nature to survive will continue.

10. General

Navica may update these Developer Terms to reflect legal, security, technical or programme changes. Navica will give reasonable advance notice of a material adverse change, except where an urgent change is needed for law, security or abuse prevention. Continued use after the effective date constitutes acceptance; if Developer does not agree, it must stop using the Developer Tools and terminate before the change takes effect.

The confidentiality, governing-law, jurisdiction, notice, assignment, waiver, severability, entire-agreement and other general provisions in the Platform Terms apply to this agreement. The parties are independent contractors and neither may bind the other unless expressly agreed in writing.

Notices to Navica must be sent to legal@navica.ai, with security incidents sent to security@navica.ai and privacy matters to privacy@navica.ai. Navica may send notices to the developer-account administrator or the email address on the applicable Order Form.
